This Terms of Use Agreement (“Agreement”) governs your access to and use of https://nucleusinsurance.com, including its quote request forms (the “Website”), operated by RL Health, a Wyoming corporation registered to do business in California, doing business as Nucleus Insurance Agency (“Nucleus Insurance,” “we,” “us,” or “our”). 4. Our Role and Compensation

Nucleus Insurance is a licensed insurance agency (California License #6005430). We work with insurance companies, wholesale brokers, and managing general agents to obtain quotes and place coverage for you. There is no charge to use the Website. We are generally paid commissions by insurance companies on policies we place, and those commissions are included in your premium. Commission amounts may vary by insurer and product. If we charge a broker fee on any policy, we will disclose the amount in writing and obtain your agreement before you are charged. You may ask us about our compensation at any time.

5. Quotes and Coverage

Information on the Website is general and does not change the terms of any insurance policy. Quotes are estimates based on the information you provide and are subject to underwriting, insurer approval, and verification. Submitting a form on the Website does not bind coverage. No coverage is in effect until the insurance company or Nucleus Insurance confirms in writing that coverage is bound. Your coverage is governed solely by the policy issued, and if anything on the Website conflicts with your policy, the policy controls. Insurance companies, not Nucleus Insurance, make final decisions on underwriting, pricing, and claims.

6. Intellectual Property

The content of the Website belongs to us and is protected by United States copyright and trademark law and applicable international treaties. We reserve all rights in the Website. When you provide your phone number or email address and give consent on our forms, you authorize Nucleus Insurance and its staff to contact you by phone call, text message, and email about your quote requests, policies, our services, and insurance offers that may interest you, at the numbers and addresses you provide, including through automated technology and artificial or prerecorded voice messages. We will honor your request within the time required by law. We may still send messages needed to service your policy, such as required notices. If your phone number changes or you are no longer the user of a number you gave us, please tell us promptly so we can update our records.

11. Disclaimer of Warranty

The Website and its content are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. Your use of the Website is at your own risk.

12. Limitation of Liability

To the maximum extent permitted by law, Nucleus Insurance will not be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profits, arising from your use of the Website, even if advised of the possibility of such damages. Our total liability to you for any claim arising from your use of the Website is limited to the greater of the amount you paid us for use of the Website or $100. 13. Changes to This Agreement

We may update this Agreement at any time by posting a revised version on the Website. The version in effect when you use the Website applies to that use.

14. Governing Law and Venue

This Agreement and your use of the Website are governed by the laws of the State of California, without regard to conflict of law principles. The state and federal courts located in San Diego County, California have exclusive jurisdiction over any dispute arising from this Agreement or your use of the Website, and you consent to their jurisdiction.

15. Miscellaneous

If any provision of this Agreement is found invalid or unenforceable, the rest of the Agreement remains in effect, and that provision will be enforced to the maximum extent permitted. Our failure to enforce any provision is not a waiver. To the extent permitted by law, any claim arising from this Agreement or your use of the Website must be brought within one (1) year after it arises. In any litigation to enforce or interpret this Agreement, the prevailing party may recover reasonable attorneys’ fees and costs. Section headings are for convenience only.
